Terms of Service

1. Acceptance

By accessing or using Covision ("Service"), you agree to these Terms. If you are accepting on behalf of an organization, you represent you have authority to bind that organization. If you disagree, do not use the Service.

2. Eligibility

You must be at least 18 years old and capable of entering a binding contract to use Covision.

3. Account security

• Keep your credentials confidential. You are responsible for activity under your account.
• Notify info@covisionconsultants.com immediately of any unauthorized use.
• We may require multi-factor authentication for sensitive actions.

4. Subscriptions and fees

• Covision Performance Software: $299.95 one-time activation, then $14.95 per user per month. Billed monthly via Stripe.
• Corporate Training: $250 per month per team. Billed monthly.
• Consulting & Systems Buildout: scoped per engagement with a written statement of work before work begins.
• All fees are exclusive of taxes unless stated otherwise.
• Failed payments may result in suspension after reasonable notice.

5. Acceptable use

You will not:

• Use the Service to violate any law.
• Attempt to gain unauthorized access to any system or another user's account.
• Upload content that infringes IP rights, is defamatory, or contains malware.
• Resell, sublicense, or reverse-engineer the Service.
• Use the Service to send spam or unauthorized SMS.

6. Your content

You retain all rights to the content you upload ("Customer Content"). You grant Covision a limited license to host, process, and display Customer Content solely to provide the Service. We do not use your Customer Content to train AI models.

7. AI features

Covision uses AI to draft messages, summarize meetings, and surface recommendations. AI output is assistive — you are responsible for reviewing and approving before any external action is taken. Covision is not liable for decisions made solely on AI output.

8. Intellectual property

Covision and its licensors retain all rights in the Service, including software, design, and trademarks. Nothing in these Terms grants you rights to Covision IP except the limited, non-exclusive license to use the Service per these Terms.

9. Privacy

Use of the Service is subject to our Privacy Policy.

10. Termination

• You may cancel at any time via account settings. Cancellation takes effect at the end of the billing period.
• We may suspend or terminate for breach, non-payment, or legal requirement.
• Upon termination, we retain your data for 30 days for retrieval, then delete it.

11. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied, to the maximum extent permitted by law.

12. Limitation of liability

To the maximum extent permitted, Covision's total liability in any 12-month period is limited to the amount you paid us in that period. We are not liable for indirect, incidental, consequential, or punitive damages.

13. Indemnification

You will indemnify Covision against claims arising from your Customer Content, your use of the Service, or your violation of these Terms.

14. Governing law

These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-laws rules. Exclusive venue is in Wayne County, Michigan.

15. Changes

We may update these Terms. Material changes will be announced 30 days in advance. Continued use after the effective date constitutes acceptance.
